Energy Recovery, Inc. (the “Registrant”) registers hereunder its Common Stock, $0.001 par value per share (the “Common Stock”). A description of the Common Stock is incorporated herein by reference to the section captioned “Description of Capital Stock” in the Registrant’s Registration Statement on Form S-1 (Registration No. 333-150007) filed with the Securities and Exchange Commission on April 1, 2008, as amended.
